Financial Analyst - Deal Execution


Cognizant is seeking a Manager to join our growing Corporate Development team which specializes in sourcing, evaluating, and integrating companies through mergers and acquisitions. The team works closely with the CEO, CFO, CSO and senior executives as well as with Business Unit ( BU ) leadership to invest Cognizant s free cash flow and drive innovative growth.

The manager will work side-by-side with the senior deal leads and BU leadership on executing all aspects of an M&A transaction. This can include developing M&A strategy; identifying acquisition opportunities; performing valuation & business case analysis, transaction structuring, due diligence management, negotiation, transaction closing, and integration planning.

The Corporate Development Manager will have the following responsibilities:

  • Support deal leader in every aspect of deal execution, including financial analysis, due diligence management and internal and external client management, and negotiations.
  • Coordinate with Business Unit FP&A and BU Deal teams on developing the strategic rationale and internal Investment Committee memorandums.
  • Perform detailed financial and valuation analysis such as discounted cash flow analysis, comparable company analysis, LBO, IPO and various other valuation methodologies as needed
  • Engage with various members of the internal due diligence teams - across finance, accounting, legal, tax, human resources, technology, security, compliance and other functional areas as needed.
  • Manage the external transaction support of our M&A partners such as investment banks, accounting firms, and external law firms.
  • Communicate constantly and clearly and in multiple formats verbal, written, email, powerpoint.
  • Manage complex, cross-functional projects in a fast-paced environment.

Don't Be Fooled

The fraudster will send a check to the victim who has accepted a job. The check can be for multiple reasons such as signing bonus, supplies, etc. The victim will be instructed to deposit the check and use the money for any of these reasons and then instructed to send the remaining funds to the fraudster. The check will bounce and the victim is left responsible.
