Commercial Transactions and Outsourcing Attorney

Cognizant is seeking an in-house attorney to join its Commercial Contracts Legal team. As Corporate Counsel for Commercial Contracts, you will work closely with designated Business Units to negotiate global outsourcing deals and handle day-to-day legal queries relating to our client engagements. He or she will have experience drafting and negotiating complex technology transaction agreements. General technology, intellectual property, and privacy expertise are pluses to have. Utilizing effective negotiation, relationship management skills and organization skills are the key skill sets needed in this position. Strong interpersonal skills and developing positive relationships with internal and external clients are important in this role. SPECIFIC JOB RESPONSIBILITIES: Working with the other members the Cognizant Legal Department, this Corporate Counsel will be responsible for the following: 1. Reviewing, drafting, and negotiating outsourcing agreements for IT, Infrastructure, Business Process Services, BPaaS, XaaS, and other similar or related agreements; Subcontractor, vendor, and partnership agreements and non-disclosure agreements. 2. Assisting business teams with day-to-day legal matters, including contract interpretation s and legal disputes. 3. Continuous work-flow process improvement, playbook and forms updating. 4. Identifying and vetting high risk matters with senior legal management. QUALIFICATIONS/TRAITS WE ARE SEEKING: 1. You will have a law degree from a premier law school and possess at least 8 years of professional experience as well as a minimum of 4 years of experience in negotiating technology agreements. 2. Having experience negotiating complex outsourcing agreements is strongly preferred. 3. A mix of top law firm experience and in-house experience is preferred. The fraudster will send a check to the victim who has accepted a job. The check can be for multiple reasons such as signing bonus, supplies, etc. The victim will be instructed to deposit the check and use the money for any of these reasons and then instructed to send the remaining funds to the fraudster. The check will bounce and the victim is left responsible.
